Please read these terms carefully before using callchloe.ai.

1. Overview

These Terms of Service ("Terms") govern your access to and use of callchloe.ai ("Service", "Platform", "we", "our", "us"), an AI-powered virtual secretary service designed for licensed real estate professionals.

By creating an account, subscribing to a plan, or using any part of the Service, you ("Agent", "Subscriber", "you", "your") agree to be bound by these Terms in their entirety. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you and callchloe.ai. We reserve the right to update these Terms at any time, and your continued use of the Service constitutes acceptance of any changes.

2. Eligibility

To use callchloe.ai, you must:

  • Be at least 18 years of age
  • Be a licensed real estate professional, or an authorized representative of a licensed real estate brokerage
  • Reside in or operate within Canada or the United States
  • Provide a valid credit card or payment method at the time of registration
  • Provide accurate, current, and complete registration information

We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion if these eligibility requirements are not met.

3. Account & Registration

When you create an account, you agree to:

  • Provide truthful and accurate information during registration
  • Maintain the security and confidentiality of your login credentials
  • Immediately notify us of any unauthorized use of your account
  • Accept full responsibility for all activity that occurs under your account

3.1 One Account Per Agent

Each subscription is for a single individual real estate agent. One account provides one AI secretary configured to represent one agent. You may not share your account credentials, secretary, or forwarding number with any other individual, agent, team member, or brokerage colleague.

Sharing prohibited: If we detect that multiple agents or phone numbers are using a single subscription, the account may be suspended or terminated without refund.

3.2 One Forwarding Number Per Account

Each account is limited to one (1) registered phone number from which calls may be forwarded to your AI secretary. This number is registered during onboarding and verified via SMS. Only calls originating from your registered number will be accepted by the system. Calls forwarded from unregistered numbers will be rejected.

To change your registered forwarding number, you must submit a change request through your dashboard and verify the new number via SMS. Number changes are limited to two (2) per calendar month.

4. Service Description

callchloe.ai provides an AI-powered virtual secretary that:

  • Answers incoming phone calls forwarded from your registered phone number, 24 hours a day, 7 days a week
  • Qualifies callers and assigns a lead temperature rating (Hot, Warm, Cold)
  • Books appointments on your behalf via integrated calendar platforms (Cal.com, Google Calendar, Calendly β€” availability depends on plan)
  • Sends call summaries to you via SMS and/or email after each call
  • Sends instant alerts for high-intent ("Hot") leads
  • Sends confirmation messages (SMS and/or email) to callers when applicable
  • Records calls for review and playback via your dashboard
  • Provides a dashboard with analytics, call history, lead management, and reporting tools

The Service relies on third-party AI voice technology, telephony infrastructure, and language models. While we strive for high accuracy and natural conversation, we do not guarantee that the AI will handle every call scenario perfectly. The AI secretary is not a replacement for professional advice, legal counsel, or licensed real estate services.

4.1 Service Availability

We target 99.9% uptime but do not guarantee uninterrupted service. Scheduled maintenance, third-party outages, or force majeure events may cause temporary service disruptions. We will make reasonable efforts to notify Subscribers of planned downtime in advance.

4.2 Languages

The Service is available in English. Bilingual (English + French) capability is available exclusively on the Pro plan. Language availability may be expanded in the future at our discretion.

5. Fair Use Policy

callchloe.ai is designed exclusively for handling real estate-related client calls. The Service is subject to the following fair use conditions:

5.1 Permitted Use

  • Receiving and handling calls from potential buyers, sellers, and existing clients regarding real estate transactions
  • Scheduling property viewings and appointments
  • Capturing lead information and callback requests
  • Answering general real estate inquiries

5.2 Prohibited Use

  • Forwarding personal, non-business calls to the Service
  • Using the Service as a general-purpose call center or answering service for non-real-estate purposes
  • Allowing multiple agents or individuals to share a single subscription
  • Forwarding calls from numbers not registered to your account
  • Deliberately generating artificial or spam call volume to exploit the Service
  • Reselling, sublicensing, or white-labeling the Service without written authorization
  • Using the Service for any illegal, fraudulent, harassing, or deceptive purpose
  • Attempting to reverse-engineer, scrape, or extract the AI's underlying technology, scripts, or voice models

Violation of this Fair Use Policy may result in immediate account suspension or termination without refund. We reserve the right to monitor usage patterns to enforce this policy.

5.3 Abnormal Usage

We reserve the right to flag, review, and contact Subscribers whose usage patterns suggest a violation of this Fair Use Policy. Indicators of abnormal usage include but are not limited to: calls from multiple unregistered numbers, unusually high call volume relative to plan, calls unrelated to real estate services, and multiple accounts registered to the same individual or payment method.

6. Pricing & Billing

All prices displayed on callchloe.ai are in United States Dollars (USD). Canadian Subscribers will see the USD charge converted to CAD on their credit card statement at the prevailing exchange rate set by their card issuer.

6.1 Subscription Plans

6.2 Billing Cycle

Monthly plans are billed on the same date each month, beginning on the date of initial subscription. Payments are charged automatically to the credit card on file.

Annual plans are billed as a single upfront payment for the full twelve (12) month period on the date of purchase. The subscription renews automatically at the then-current annual rate unless cancelled at least 30 days before the renewal date.

6.3 Payment Method

A valid credit card must be on file at all times. If a payment fails, we will attempt to charge the card up to three (3) times over a seven (7) day period. If all attempts fail, your account will be suspended and your AI secretary will stop answering calls until payment is resolved.

6.4 Price Changes

We reserve the right to modify pricing at any time. Existing Subscribers will receive at least thirty (30) days' written notice (via email) before any price change takes effect. Annual plan Subscribers are locked into their rate for the duration of their current billing period.

6.5 Taxes

All prices are exclusive of applicable taxes. You are responsible for any sales tax, VAT, GST, HST, QST, or other applicable taxes in your jurisdiction. Taxes will be calculated and added at checkout where required by law.

7. Minutes & Overage

7.1 Included Minutes

Each plan includes a set number of call minutes per monthly billing cycle. Minutes are calculated from the moment the AI secretary begins speaking to the caller until the call ends. Unused minutes do not roll over to the next month.

7.2 Usage Alerts

We will notify you via SMS and email at the following thresholds:

  • 80% usage β€” You will receive an alert informing you of your remaining minutes and options to top up
  • 100% usage β€” You will receive an alert confirming that your included minutes have been fully consumed and that overage charges will apply to any additional calls

Important: Your AI secretary will never stop answering calls due to minute depletion. Service continuity is maintained at all times. Overage charges apply automatically once included minutes are exhausted.

7.3 Overage Charges

Once your included monthly minutes are fully consumed, any additional call minutes will be charged at the following rate:

Overage charges are billed automatically to the credit card on file. Overages are calculated in real time and will appear as a separate line item on your next invoice. Minutes are rounded up to the nearest whole minute per call.

7.4 Minute Reset

Included minutes reset to their full allotment at the beginning of each monthly billing cycle. Minutes do not roll over, accumulate, or carry any cash value.

8. Top-Ups

You may purchase additional minute packs ("Top-Ups") at any time through your dashboard. Top-Up minutes are applied immediately to your account and can be used before overage charges kick in.

Top-Up minutes are valid for the current billing cycle only and do not roll over to the next month. Top-Up purchases are non-refundable. The system will consume included plan minutes first, then Top-Up minutes, before overage charges apply.

9. Free Trial

New Subscribers on monthly plans are eligible for a one-time free trial.

  • The free trial includes 30 minutes of call time
  • A valid credit card is required at sign-up. You will not be charged during the trial period unless you exceed the trial minute allotment, in which case overage rates apply
  • The trial period lasts 7 days or until the 30 trial minutes are consumed, whichever comes first
  • At the end of the trial period, your subscription will automatically convert to a paid monthly plan unless you cancel before the trial expires
  • You will receive an email reminder 24 hours before your trial converts to a paid subscription
  • Each individual is limited to one (1) free trial. Creating multiple accounts to obtain additional trials is a violation of these Terms

Free trials are not available on annual plans. Annual plan purchases are charged immediately and are non-refundable.

10. Annual Plans

Annual plan subscriptions are subject to the following terms:

  • The full annual amount is charged upfront at the time of purchase ($2,100 USD for Standard, $3,900 USD for Pro)
  • Annual plans are non-refundable. By purchasing an annual plan, you acknowledge and agree that the full amount is due immediately and that no partial or prorated refunds will be issued for any reason, including but not limited to: early cancellation, dissatisfaction with the Service, change in business circumstances, or failure to use the Service
  • Annual subscriptions automatically renew at the then-current annual rate unless cancelled at least 30 days before the renewal date
  • You will receive a renewal reminder via email at least 30 days before your annual renewal date
  • No free trial is available for annual plans

Non-refundable: Annual plan purchases are final. All 12 months are billed upfront with no possibility of refund. Please use the monthly plan or free trial if you wish to evaluate the Service before committing to an annual plan.

11. Cancellation & Refunds

11.1 Monthly Plan Cancellation

Monthly plan Subscribers may cancel their subscription at any time through their account dashboard. Upon cancellation:

  • Your subscription will remain active until the end of the current billing period
  • Your AI secretary will continue answering calls until the end of the billing period
  • No partial refund will be issued for the remaining days in the current billing cycle
  • Any outstanding overage charges will be billed to your card on file
  • There are no cancellation fees

11.2 Annual Plan Cancellation

Annual plan Subscribers may cancel auto-renewal at least 30 days before their renewal date. The subscription will remain active for the full 12-month period already paid for. No refunds β€” partial or otherwise β€” will be issued for annual plans.

11.3 Refund Policy

  • Monthly plans: No refunds for partial months. Cancel before your next billing date to avoid being charged
  • Annual plans: Non-refundable under any circumstances
  • Top-Up minutes: Non-refundable
  • Overage charges: Non-refundable

11.4 Chargebacks & Disputes

If you believe a charge is incorrect, please contact our support team at [email protected] before initiating a chargeback with your bank. Filing a chargeback without first contacting us may result in immediate account termination. We reserve the right to dispute any chargebacks we believe to be fraudulent or unwarranted.

12. Call Forwarding & Phone Numbers

Upon sign-up, you will be assigned a dedicated phone number ("Secretary Number") to which you forward your calls. This number is provisioned through our telephony provider and remains the property of callchloe.ai.

  • You are responsible for setting up call forwarding on your own device and with your own carrier
  • Only calls forwarded from your registered phone number will be accepted by the system
  • Your Secretary Number may not be ported, transferred, or used for any purpose other than receiving forwarded calls from your registered number
  • If your account is terminated or cancelled, your Secretary Number will be deactivated and may be reassigned

13. Call Recordings

All calls handled by your AI secretary are recorded for quality assurance and review purposes.

  • Recordings are stored securely and accessible via your dashboard
  • You are solely responsible for ensuring compliance with all applicable call recording laws in your jurisdiction, including one-party and two-party consent requirements
  • In jurisdictions requiring two-party consent, it is your responsibility to ensure your callers are informed that the call may be recorded. The AI secretary can be configured to include a recording disclosure in its greeting
  • callchloe.ai is not a law firm and does not provide legal advice regarding recording consent laws. Consult a qualified attorney in your jurisdiction
  • Recordings are retained for a period of 90 days, after which they may be automatically deleted unless you download them
  • Upon account termination, all recordings will be permanently deleted within 30 days

14. Data & Privacy

We take the privacy of your data and your callers' data seriously. Our full Privacy Policy is available at callchloe.ai/privacy.

14.1 Data We Collect

  • Agent data: Name, email, phone number, billing information, brokerage details
  • Caller data: Phone number, name (when provided), call content, call duration, call recordings
  • Usage data: Minutes consumed, call logs, dashboard activity

14.2 Data Use

We use your data solely to provide, maintain, and improve the Service. We do not sell, rent, or share your data or your callers' data with third parties for marketing purposes. Data may be shared with essential third-party service providers (telephony, AI processing, payment processing) strictly as necessary to operate the Service.

14.3 Data Retention

Call data and recordings are retained for 90 days from the date of the call. Account data is retained for the duration of your subscription plus 30 days following account closure. You may request deletion of your data at any time by contacting [email protected].

14.4 Security

We implement industry-standard security measures to protect your data, including encryption in transit and at rest. However, no system is 100% secure. You acknowledge and accept this inherent risk.

15. Prohibited Uses

You may not use the Service to:

  • Engage in any activity that violates applicable local, state, provincial, national, or international law
  • Impersonate any person or entity, or misrepresent your affiliation with a person or entity
  • Harass, abuse, threaten, or harm any individual through the use of the Service
  • Transmit or facilitate the transmission of unsolicited communications, spam, or robocalls
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, servers, or networks
  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Service or its AI models
  • Use the Service for any purpose other than legitimate real estate business communications
  • Create multiple accounts for the purpose of obtaining additional free trials or circumventing usage limits
  • Resell, sublicense, or redistribute the Service without prior written authorization
  • Use automated tools, bots, or scripts to interact with the Service's demo line or any other part of the platform

16. Intellectual Property

All content, technology, software, AI models, voice models, scripts, branding, trademarks, logos, design elements, and other intellectual property associated with callchloe.ai are the exclusive property of callchloe.ai and its licensors.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any part of the Service or its intellectual property without prior written consent.

The name "ChloΓ©" and "callchloe.ai" are trademarks of callchloe.ai. The custom secretary name you assign to your AI secretary is for use within the Service only and does not grant you any ownership of the underlying technology.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • callchloe.ai SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE
  • callchloe.ai's TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO callchloe.ai IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
  • callchloe.ai IS NOT LIABLE FOR ANY ERRORS, INACCURACIES, OR MISSTATEMENTS MADE BY THE AI SECRETARY DURING CALLS, INCLUDING INCORRECT INFORMATION PROVIDED TO CALLERS, MISSED APPOINTMENTS, OR MISCOMMUNICATION
  • callchloe.ai IS NOT LIABLE FOR ANY LOST DEALS, MISSED COMMISSIONS, OR BUSINESS DAMAGES RESULTING FROM SERVICE DOWNTIME, AI ERRORS, OR CALL HANDLING FAILURES

18. Indemnification

You agree to indemnify, defend, and hold harmless callchloe.ai, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your violation of any third-party rights, including the rights of your callers
  • Any content or data you provide to the Service
  • Your failure to comply with applicable call recording consent laws

19. Modifications to Terms & Service

We reserve the right to modify these Terms at any time. Material changes will be communicated via email and/or a prominent notice on the Platform at least thirty (30) days before taking effect.

We also reserve the right to modify, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms.

20. Termination

20.1 Termination by You

You may terminate your account at any time through your dashboard. Refer to Section 11 (Cancellation & Refunds) for details on the effects of cancellation for each plan type.

20.2 Termination by Us

We may suspend or terminate your account immediately and without prior notice if:

  • You violate these Terms, including the Fair Use Policy
  • You engage in fraudulent, abusive, or illegal activity
  • Your payment method fails and is not resolved within seven (7) days
  • We reasonably believe your account poses a risk to the platform, other users, or third parties

In the event of termination for cause, no refund will be issued for any prepaid fees, including annual plan payments, top-up minutes, or remaining monthly billing periods.

20.3 Effects of Termination

Upon termination:

  • Your AI secretary will immediately stop answering calls
  • Your Secretary Number will be deactivated
  • Call recordings will be available for download for 30 days, after which they will be permanently deleted
  • All outstanding overage charges will be billed to your card on file
  • Your data will be retained for 30 days following termination, then permanently deleted in accordance with our Privacy Policy

21. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Montreal, Quebec, in accordance with the rules of the Canadian Arbitration Association.

You agree to waive any right to a jury trial or to participate in a class action in connection with any dispute arising from these Terms or the Service.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
